Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Libereos, Inc., a Nevada corporation doing business as “LendingGenie,” with offices at 2100 SW 22nd St #302, Miami, FL 33145 (“LendingGenie,” “we,” “us,” or “our”). They govern your access to and use of the LendingGenie website, platform, and related services (collectively, the “Service”). By creating an account, starting a trial, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

PLEASE READ SECTION 15 CAREFULLY. IT REQUIRES INDIVIDUAL ARBITRATION OF DISPUTES AND WAIVES CLASS ACTIONS AND JURY TRIALS, SUBJECT TO A 30-DAY OPT-OUT.

1. What the Service is — and what it is not

LendingGenie is business credit intelligence software. The Service provides tools, analysis, and education to help business owners understand their capital readiness, see which capital options may fit their profile, and follow strategies to improve their position over time.

LendingGenie is NOT:

• A lender or loan broker. We do not originate, arrange, negotiate, or broker loans or any other financing; we do not accept applications for credit; we do not place you with lenders; and we do not receive commissions from lenders in connection with your use of the Service.
• A credit repair organization or credit services organization. We do not perform, offer, or advise on disputing information with consumer reporting agencies or creditors, and we do not offer to “remove” items from any credit report. The Service is informational and educational software.
• A consumer reporting agency. Information displayed in the Service is provided for your own review and education, does not constitute a “consumer report,” and may not be used to determine any person’s eligibility for credit, insurance, employment, or any other purpose regulated by the Fair Credit Reporting Act.
• A financial, legal, or tax advisor. Nothing in the Service is financial, investment, legal, or tax advice. Consult your own licensed professionals before making financial decisions.

We make no promise or guarantee of any funding, approval, credit-score change, or other outcome. Lender decisions are made solely by lenders under their own criteria, which change without notice.

2. Eligibility; accounts

The Service is for business use by individuals who are at least 18 years old and authorized to act for the business whose information they connect. You agree to provide accurate, current information; keep your credentials confidential; and notify us promptly of any unauthorized use of your account. You are responsible for all activity under your account.

3. Credit data authorization (soft inquiry)

To provide the Service, you authorize us and our data providers (which may include consumer reporting agencies and commercial data providers) to obtain credit and related information about you and your business on a recurring basis for as long as you maintain an account, using soft inquiries that do not affect your credit score. You represent that you are authorized to grant this access for any information you connect. You may revoke this authorization at any time by closing your account, which ends our retrieval of new data.

4. Free trial, subscription, billing & cancellation

• Trial. New accounts receive a 2-month (60-day) free trial with full access under the current launch promotion. We may change or end the promotional trial length for new signups at any time; the trial length shown at signup governs your account. A valid payment method may be required to start the trial.
• Auto-renewal. Unless you cancel before the end of the trial, your paid subscription begins automatically at $19.97 per month (plus any applicable taxes) and renews monthly until canceled. Your payment method is charged on each renewal date. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis.
• How to cancel. Cancel anytime from your account settings or by emailing support@lendinggenie.ai. Cancellation takes effect at the end of the current billing period, and you keep access until then. No long-term commitment.
• Refunds. Except where required by law, fees already paid are non-refundable, and we do not provide refunds or credits for partial billing periods.
• Changes. We may change prices or plan features prospectively with at least 30 days’ notice by email or in-app; changes apply at your next renewal.
• Failed payments. If a charge fails, we may retry it and/or suspend access until payment is made.

5. AI features

The Service includes AI-assisted features (including the “AI Credit Therapist”). AI outputs are generated automatically, are provided for informational and educational purposes only, may be inaccurate or incomplete, and are not advice, a recommendation, or a promise of any outcome. You are responsible for evaluating any AI output before acting on it.

6. Acceptable use

You agree not to: (a) use the Service for any unlawful purpose or in violation of these Terms; (b) access or attempt to access another person’s data without authorization; (c) reverse engineer, scrape, crawl, or copy the Service or its data except as expressly permitted; (d) resell, sublicense, or provide the Service to third parties as a service bureau; (e) upload malicious code or interfere with the Service’s operation; (f) use the Service to build a competing product; or (g) misrepresent your identity or authority.

7. Your content; feedback

You retain ownership of information you submit to the Service. You grant us a non-exclusive, worldwide license to host, process, and display that information solely to provide and improve the Service, consistent with our Privacy Policy. If you send us feedback or suggestions, we may use them without restriction or obligation to you.

8. Intellectual property

The Service — including software, design, text, graphics, logos, trademarks, and educational content — is owned by Libereos, Inc. and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business during your subscription. All rights not expressly granted are reserved. “LendingGenie” and associated logos are trademarks of Libereos, Inc.

9. Third-party services

The Service relies on third-party services (including data providers and payment processing). Third-party services are governed by their own terms and privacy policies, and we are not responsible for them. Payments are processed by our third-party payment processor; we do not store full card numbers.

10. Electronic communications

You consent to receive communications from us electronically (email and in-app) and, if you opt in, by SMS (message and data rates may apply; reply STOP to opt out). Electronic communications satisfy any legal requirement that a communication be in writing. You may unsubscribe from marketing at any time; we may still send transactional messages about your account.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DATA (INCLUDING CREDIT DATA SUPPLIED BY THIRD PARTIES) WILL BE ACCURATE, COMPLETE, OR CURRENT. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) LIBEREOS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE PAID NOTHING). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You will defend, indemnify, and hold harmless Libereos, Inc. and its officers, directors, employees, and agents from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your violation of these Terms or applicable law; or (c) information you submit to the Service, including any claim that you lacked authority to connect a business’s or individual’s information.

14. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or to protect the Service or its users. Sections that by their nature should survive (including Sections 7, 8, and 11–16) survive termination.

15. Dispute resolution; arbitration; class-action waiver

Informal resolution first. Before filing a claim, you agree to contact us at support@lendinggenie.ai and attempt in good faith to resolve the dispute informally for 30 days.

Binding arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be held in Miami-Dade County, Florida, or remotely by video at your election. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action and jury waiver. YOU AND LENDINGGENIE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. Claims may be brought only in an individual capacity.

Exceptions. Either party may bring an individual claim in small-claims court, or seek injunctive relief in court for infringement or misuse of intellectual property.

30-day opt-out. You may opt out of this arbitration agreement by emailing support@lendinggenie.ai with the subject “Arbitration Opt-Out” within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

16. Governing law & venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Subject to Section 15, the exclusive venue for any court proceeding is the state or federal courts located in Miami-Dade County, Florida, and both parties consent to personal jurisdiction there.

17. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We may update these Terms from time to time; material changes will be notified by email or in-app, and continued use after the effective date constitutes acceptance.
